1. Definitions
For purposes of these Terms of Service:
- "Seller Adventures," "we," "us," "our" refers to Seller Adventures LLC, a New York limited liability company.
- "Client," "you," "your" refers to the individual or business entity engaging our Services.
- "Services" refers to the Amazon account management, advertising, optimization, creative, consulting, and related services provided by Seller Adventures.
- "Service Agreement" refers to the specific scope of work, pricing, and terms documented separately between you and Seller Adventures.
- "Confidential Information" refers to all non-public information disclosed by either party, including business data, account credentials, strategies, financial information, customer data, and proprietary methodologies.
- "Deliverables" refers to work product created by Seller Adventures for you, such as product listings, A+ Content, ad copy, reports, and creative assets.
- "Platform" refers to Amazon.com, Amazon Seller Central, Amazon Advertising, and any related Amazon services or tools.
2. Agreement to Terms
By signing up for Seller Adventures services, you agree to these Terms of Service, our Privacy Policy, our Refund Policy, and any additional terms in your Service Agreement. If you do not agree to these terms, you may not use our services. In the event of a conflict between these Terms and your Service Agreement, the Service Agreement shall control with respect to the specific services covered therein.
3. Service Description
Seller Adventures provides full-service Amazon account management, including but not limited to:
- PPC campaign optimization and management
- Product listing and catalog optimization
- Creative services and A+ Content development
- Account health monitoring and compliance management
- Strategy consulting and performance reporting
- Store launch and expansion support
The specific scope of Services provided to you will be documented in your Service Agreement. Seller Adventures reserves the right to modify, enhance, or discontinue any service offering at any time with reasonable notice.
4. Service Engagement and Contracts
4.1 Month-to-Month Services
Unless otherwise specified in a separate agreement, our services are provided on a month-to-month basis with no long-term contracts required. Either party may terminate services with 30 days' written notice.
4.2 Custom Agreements
Some clients may enter into custom service agreements with specific terms, pricing, and commitment periods. Such agreements will be documented separately and take precedence over these general terms with respect to the subject matter covered.
4.3 Trial Periods
We may offer trial or introductory service periods at reduced rates. Trial terms will be clearly communicated and documented in your service agreement. Trial pricing does not establish a precedent for future billing rates.
5. Account Access and Security
5.1 Access Requirements
To perform our Services, you must grant Seller Adventures appropriate access to your Amazon Seller Central account and any other platforms necessary for service delivery. You are responsible for ensuring that the access you provide is sufficient for us to perform the agreed-upon services.
5.2 API Access and Authorization
As part of our Services, Seller Adventures uses Amazon's Selling Partner API (SP-API) and Amazon Ads API to programmatically access and manage your account data. By engaging our Services, you authorize Seller Adventures to:
- Connect to your Amazon seller account via SP-API and Amazon Ads API using authorized credentials and access tokens
- Retrieve, process, and analyze your seller data, including order data, inventory levels, product catalog information, financial data, and account health metrics
- Access, create, modify, and optimize your advertising campaigns, keywords, bids, and targeting through the Amazon Ads API
- Access business reports, sales analytics, and performance data for the purpose of strategy development and reporting
All API access is performed in compliance with Amazon's Selling Partner API Developer Agreement, Amazon's Data Protection Policy, and Amazon Ads API License Agreement. We access only the data necessary to perform your agreed-upon Services.
5.3 Credential Handling
All account credentials, API keys, OAuth tokens, and refresh tokens are encrypted at rest and in transit, and handled in accordance with industry-standard security practices and Amazon's data protection requirements. We will never share your credentials or API tokens with unauthorized third parties. We strongly recommend enabling multi-factor authentication (MFA) on all accounts to which we are granted access.
5.4 Access Scope
Seller Adventures will only access your accounts and data — whether through the Seller Central interface or via APIs — as necessary to perform the Services outlined in your Service Agreement. We will not make material changes to your account structure, product listings, or advertising campaigns without prior communication unless such changes are within the scope of our agreed-upon responsibilities.
5.5 Access Revocation
You may revoke our account and API access at any time. However, revoking access may prevent us from performing our Services and may constitute a material breach of your Service Agreement. Upon termination of services, we will promptly remove our access to your accounts and delete or securely destroy all stored API tokens and credentials associated with your account.
6. Client Responsibilities
To ensure successful service delivery, you agree to:
- Provide accurate and complete information about your business and Amazon account
- Grant and maintain necessary access to your Amazon Seller Central account
- Maintain an active Amazon seller account in good standing
- Respond promptly to requests for information or approvals
- Comply with all Amazon policies and terms of service
- Pay all fees on time according to your service agreement
- Notify us immediately of any account issues, policy violations, or changes to your business that may affect our services
- Ensure that all products sold through your account comply with applicable laws, regulations, and Amazon policies
- Maintain adequate insurance coverage for your products and business operations
Failure to fulfill these responsibilities may result in degraded service performance, and Seller Adventures shall not be liable for any losses, account actions, or diminished results attributable to your failure to meet these obligations.
7. Seller Adventures Responsibilities
We commit to:
- Provide expert-led Amazon account management services
- Maintain strict compliance with Amazon's policies and best practices
- Protect your confidential information and business data
- Deliver regular performance reports and transparent communication
- Act in your best interest within the scope of our services
- Use white-hat, policy-compliant strategies only
8. Representations and Warranties
8.1 Client Representations
You represent and warrant that:
- You have the legal authority to enter into this agreement and bind your business entity
- All information you provide to us is accurate, current, and complete
- You own or have the legal right to sell all products listed on your Amazon account
- Your products comply with all applicable federal, state, and local laws and regulations
- You are the authorized owner or operator of the Amazon Seller Central account to which you grant us access
- You are not currently suspended or banned from selling on Amazon for fraud, counterfeit goods, or illegal activity
8.2 Disclaimer of Warranties
Except as expressly stated in these Terms or your Service Agreement, our Services are provided on an "as-is" and "as-available" basis. Seller Adventures makes no warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that our Services will be uninterrupted, error-free, or that any specific results will be achieved.
9. Fees and Payment
9.1 Service Fees
Service fees will be outlined in your Service Agreement. Fees may be structured as flat monthly retainers, percentage of ad spend, performance-based, or hybrid models depending on your specific arrangement. Seller Adventures reserves the right to adjust fees with 30 days' written notice.
9.2 Payment Terms
Payments are due according to the schedule specified in your Service Agreement (typically monthly in advance). Late payments are subject to a late fee of 1.5% per month (or the maximum rate permitted by law, whichever is lower) on any outstanding balance. Continued non-payment beyond 15 days may result in suspension of services without liability to Seller Adventures. You are responsible for all costs of collection, including reasonable attorneys' fees, incurred by Seller Adventures in collecting overdue amounts.
9.3 Ad Spend
Amazon advertising spend is billed directly by Amazon to your account. Our management fees are separate from and in addition to your advertising budget. Seller Adventures is not responsible for charges incurred directly by Amazon.
9.4 Taxes
All fees are exclusive of applicable taxes. You are responsible for all sales, use, and other taxes associated with the Services, excluding taxes based on Seller Adventures' net income.
9.5 Refunds
Service fees are generally non-refundable. See our Refund Policy for specific circumstances where refunds may apply.
10. Intellectual Property
10.1 Client IP
You retain all rights to your trademarks, product content, brand assets, and proprietary business information. We do not claim ownership of any materials you provide to us. You grant Seller Adventures a limited, non-exclusive license to use your materials solely for the purpose of performing the Services.
10.2 Deliverables
Deliverables created by Seller Adventures (such as product descriptions, A+ Content, and ad copy) become your property upon full payment for the applicable services. Until full payment is received, Seller Adventures retains all rights to unpaid Deliverables. We may retain copies of Deliverables for portfolio and case study purposes with your prior written permission.
10.3 Seller Adventures IP
Our proprietary methodologies, tools, processes, frameworks, strategies, templates, software, and reporting systems remain the exclusive intellectual property of Seller Adventures. Nothing in these Terms grants you any right, title, or interest in our intellectual property. You may not reproduce, distribute, reverse-engineer, or create derivative works based on our proprietary materials.
11. Confidentiality
11.1 Obligations
Both parties agree to maintain strict confidentiality of all Confidential Information received from the other party. Confidential Information shall not be disclosed to any third party without the prior written consent of the disclosing party, except as required by law or to employees, contractors, or advisors who have a need to know and are bound by confidentiality obligations no less restrictive than those set forth herein.
11.2 Exclusions
Confidential Information does not include information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was lawfully in the receiving party's possession prior to disclosure; (c) is independently developed without reference to the disclosing party's Confidential Information; or (d) is lawfully received from a third party without restriction.
11.3 Survival
Confidentiality obligations survive termination of these Terms and any Service Agreement for a period of three (3) years, or indefinitely with respect to trade secrets.
12. Performance and Results
12.1 No Guarantees
While we use proven strategies and best practices, we cannot and do not guarantee specific sales figures, rankings, conversion rates, return on ad spend, or any other performance outcomes. Results depend on numerous factors beyond our control, including but not limited to market conditions, competition, Amazon algorithm and policy changes, product quality, pricing, inventory availability, and customer demand. No oral or written statement by Seller Adventures shall constitute a performance guarantee.
12.2 Performance Expectations
We will work diligently to optimize your account performance and will provide regular reports showing our activities and their impact. Any projections, forecasts, or performance estimates provided by Seller Adventures are good-faith approximations only and shall not be construed as guarantees or binding commitments.
13. Limitation of Liability
13.1 Exclusion of Damages
To the maximum extent permitted by applicable law, Seller Adventures, its officers, directors, employees, agents, and affiliates shall not be liable for any:
- Lost profits, revenue, sales, data, or business opportunities
- Indirect, incidental, special, consequential, exemplary, or punitive damages
- Amazon account suspensions, restrictions, or policy enforcement actions not directly caused by Seller Adventures' gross negligence
- Actions, decisions, or changes made by Amazon or any third party
- Loss of goodwill or reputation
- Cost of procurement of substitute services
- Damages arising from unauthorized access to your account not caused by Seller Adventures' breach of its security obligations
These limitations apply regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if Seller Adventures has been advised of the possibility of such damages.
13.2 Liability Cap
In no event shall Seller Adventures' total aggregate liability for all claims arising out of or related to these Terms or our Services exceed the total fees actually paid by you to Seller Adventures during the three (3) months immediately preceding the event giving rise to the claim.
13.3 Time Limitation on Claims
Any claim or cause of action arising out of or related to these Terms or our Services must be filed within one (1) year after the cause of action arises, or the claim is permanently barred.
14. Indemnification
You agree to indemnify, defend, and hold harmless Seller Adventures, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your products, including product liability, safety, or compliance claims
- Your business practices, marketing claims, or representations
- Your violation of Amazon's policies or terms of service
- Your violation of any applicable law, regulation, or third-party rights
- Your breach of these Terms or your Service Agreement
- Inaccurate, misleading, or incomplete information provided by you
- Intellectual property infringement related to your products, trademarks, or content
- Tax liabilities or regulatory penalties related to your business
This indemnification obligation survives termination of these Terms and any Service Agreement.
15. Termination
15.1 Termination by Client
You may terminate month-to-month services with 30 days' written notice. Fees for the notice period are non-refundable. If you are under a fixed-term contract, early termination is subject to the terms of your Service Agreement.
15.2 Termination by Seller Adventures
We reserve the right to terminate or suspend services immediately and without liability if you: (a) violate these Terms or your Service Agreement; (b) fail to pay fees when due; (c) request activities that violate Amazon policies or applicable law; (d) engage in fraudulent, illegal, or unethical business practices; (e) become subject to bankruptcy or insolvency proceedings; or (f) if we determine, in our sole discretion, that we cannot effectively serve your account.
15.3 Effect of Termination
Upon termination: (a) all fees incurred through the termination date become immediately due and payable; (b) we will remove our access to your accounts within a reasonable timeframe; (c) we will return any client materials in our possession upon written request; (d) you must cease using any Seller Adventures intellectual property; and (e) we may delete your data in accordance with our Privacy Policy and data retention obligations.
16. Non-Solicitation
During the term of our engagement and for a period of twelve (12) months following termination, you agree not to directly or indirectly solicit, recruit, or hire any employee, contractor, or agent of Seller Adventures, or encourage any such person to leave their engagement with Seller Adventures. Violation of this provision entitles Seller Adventures to liquidated damages equal to the solicited individual's annual compensation, which the parties agree is a reasonable estimate of the damages that would be incurred.
17. Compliance and Ethics
Seller Adventures strictly adheres to white-hat, compliant strategies. We will not engage in:
- Review manipulation or incentivized reviews
- Black-hat ranking tactics
- Violation of Amazon's terms of service
- Misleading advertising or product claims
- Any practice that puts your account at risk
If you request that we engage in any of the above practices or any other activity that violates Amazon's policies or applicable law, we reserve the right to refuse and, if necessary, terminate services immediately without refund.
18. Third-Party Platform Disclaimer
Seller Adventures is not affiliated with, endorsed by, or a representative of Amazon.com, Inc. or any of its subsidiaries. Our Services are dependent on Amazon's platform, policies, and infrastructure, which are subject to change at any time without notice to us. Seller Adventures shall not be liable for any losses, disruptions, or damages resulting from changes to Amazon's platform, policies, algorithms, fees, or terms of service. Your use of Amazon's platform is governed by your separate agreement with Amazon.
19. Force Majeure
Seller Adventures shall not be liable for any delay or failure to perform its obligations under these Terms to the extent caused by circumstances beyond its reasonable control, including but not limited to: acts of God, natural disasters, pandemics, government actions or orders, changes to Amazon's platform or policies, internet or telecommunications failures, cyberattacks, power outages, labor disputes, or supply chain disruptions. In the event of a force majeure lasting more than 60 days, either party may terminate these Terms without further obligation.
20. Independent Contractor
Seller Adventures is an independent contractor and nothing in these Terms creates an employer-employee, partnership, joint venture, or agency relationship between the parties. Seller Adventures has no authority to bind you or make commitments on your behalf, except as expressly authorized in your Service Agreement with respect to Amazon account management activities.
21. Electronic Communications
By engaging our Services, you consent to receive communications from Seller Adventures electronically, including via email, client portals, and messaging platforms. You agree that all agreements, notices, disclosures, and other communications provided electronically satisfy any legal requirement that such communications be in writing.
22. Changes to Terms
We may update these Terms of Service from time to time. Significant changes will be communicated to active clients via email at least 15 days before taking effect. Continued use of our Services after changes take effect constitutes acceptance of the updated Terms. If you do not agree with any changes, your sole remedy is to terminate services in accordance with these Terms.
23. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. Any disputes arising out of or related to these Terms shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in New York, NY. Each party waives the right to participate in a class action lawsuit or class-wide arbitration. The prevailing party in any dispute shall be entitled to recover its reasonable attorneys' fees and costs.
24. General Provisions
24.1 Entire Agreement
These Terms, together with your Service Agreement, our Privacy Policy, and our Refund Policy, constitute the entire agreement between you and Seller Adventures and supersede all prior or contemporaneous oral or written agreements, representations, and understandings.
24.2 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
24.3 Waiver
The failure of Seller Adventures to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by Seller Adventures to be effective.
24.4 Assignment
You may not assign or transfer these Terms or any rights hereunder without the prior written consent of Seller Adventures. Seller Adventures may assign these Terms without restriction in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets.
24.5 Notices
All formal notices under these Terms shall be in writing and delivered via email or certified mail to the addresses on file. Notices are deemed received upon delivery confirmation or, for mail, three (3) business days after mailing.
24.6 Survival
The following sections survive termination of these Terms: Definitions, Intellectual Property, Confidentiality, Limitation of Liability, Indemnification, Non-Solicitation, Third-Party Platform Disclaimer, Governing Law and Dispute Resolution, and General Provisions.
24.7 Headings
Section headings are for convenience only and shall not affect the interpretation of these Terms.
